Terms & Conditions

The Secret Agent Travel Co.

(Associated with Nexion Canada ULC, hereafter referred to as "the Company")

1. Scope of Agreement

By requesting or booking travel services through The Secret Agent Travel Co. (the “Company”), you (the “Client”) agree to be bound by these Terms and Conditions. These terms govern the relationship between the Company and any individual for whom the Client arranges travel services.

2. Role of the Company and TICO Registration

The Company is an independent contractor of Nexion Canada ULC, a registered travel retailer of the Travel Industry Counsel of Ontario under the Ontario Travel Industry Act, 2002 (TICO Reg #1549342). The Company acts solely as an intermediary between Clients and travel suppliers (e.g., airlines, hotels, cruise lines). The Company does not own or operate any travel service providers.

3. Pricing and Payment
  • Currency: Pricing is in Canadian dollars unless otherwise specified.

  • Price Increases: Under Ontario Regulation 26/05, if the total price of travel services increases by more than 7% (excepting increases from government taxes or fuel surcharges), the Client has the right to cancel the contract and obtain a full refund.

  • Finality: No price increases are permitted after the customer has paid in full.

  • Deadlines: Failure to meet payment deadlines set by suppliers may result in automatic cancellation and loss of deposits.

4. Client Responsibilities & Health Requirements

Clients agree to provide accurate information and review all documents immediately upon receipt.

  • Documentation: Clients must possess valid passports (usually valid for 6 months beyond return), visas, and parental consents where applicable.

  • Health & Entry: Entry into a country is never guaranteed. The Client is responsible for meeting all health entry requirements, including but not limited to vaccinations and COVID-19 protocols.

  • Special Needs: Requests (dietary, mobility) must be made at the time of booking. Fulfillment is at the supplier’s discretion.

5. Travel Insurance

The Company strongly recommends the purchase of comprehensive travel insurance. Under Ontario law, the Company is required to advise you of the availability of insurance. If you decline insurance, you may be required to sign a waiver. The Client acknowledges that without insurance, they are responsible for all costs related to cancellations, medical emergencies, or lost baggage.

6. Service Fees

The Company may charge professional consulting or service fees. These fees are separate from supplier costs, will be disclosed prior to booking, and are non-refundable.

7. Changes and Cancellations

All changes must be requested through the Company. Cancellations are subject to the terms of the specific travel supplier. The Company may apply its own administrative fee for processing these changes in addition to supplier-imposed penalties.

8. Limitation of Liability

The Company is not liable for the acts, errors, omissions, or negligence of any third-party supplier. We are not responsible for personal injury, death, property damage, or delays resulting from "Acts of God" or force majeure.

  • Liability Cap: Liability for the Company’s own errors is strictly limited to the amount of professional fees received directly by the Company for that specific booking.

9. Force Majeure

The Company is not responsible for performance failures caused by events beyond its control (natural disasters, strikes, pandemics, or government actions). In such cases, obligations are suspended. The Client acknowledges that supplier funds may be non-recoverable under these circumstances.

10. Privacy and Data Use

Personal information is collected solely to process bookings and comply with Canadian privacy laws. Information is shared with suppliers only as required to complete arrangements.

11. Digital Tools and Third-Party Links

The Company may provide links to itinerary apps or third-party websites. These are provided for convenience only; the Company does not endorse or assume responsibility for the accuracy or practices of these external platforms.

12. Conduct and Intellectual Property
  • Conduct: The Company reserves the right to terminate service in the event of abusive or unprofessional behaviour toward its representatives.

  • IP: All branding and materials created by The Secret Agent Travel Co. are the intellectual property of the Company and may not be reproduced without written consent.

13. Indemnification

The Client agrees to indemnify the Company and its affiliates (including Nexion Canada ULC) from any claims or legal fees resulting from the Client’s breach of these terms or misrepresentation of information.

14. Dispute Resolution & Governing Law

In the event of a dispute, parties agree to attempt good-faith negotiation or mediation. These terms are governed by the laws of the Province of Ontario. Any legal proceedings shall be conducted exclusively in the courts of Ontario, Canada.

15. Modification and Entire Agreement

The Company may update these terms at any time by posting the most current version to its website. These Terms represent the entire agreement between the Client and the Company and supersede all prior discussions.
